May 14, 2010NOTICE IS HEREBY GIVEN that the 10th Annual General Meeting of the Financial Planning Association of Malaysia (FPAM) will be held at Berjaya Hall, Bukit Kiara Equestrian & Country Resort, Jalan Bukit Kiara, Off Jalan Damansara, 60000 Kuala Lumpur on Saturday, 26 June 2010 at 10.30 a.m. for the following purposes:
1. To receive the President’s Statement and Board of Governor’s report on the activities of the Association for the year ending 31 December 2009
2. To receive the audited accounts of the Association for the year ending 31 December 2009
3. To accept the resignation of PricewaterhouseCoopers as the auditors and to appoint Ernst and Young as the auditors and authorize the Board to determine their remuneration
4. To consider and if thought fit, pass the following Resolutions:-
Resolution 4.1
That the Constitution of the Association which states
7. VOTING AND HOLDING OF OFFICE
7.4 Representatives of the Consumer Association (who need not be Certified Members of the Association) may be invited by the BOG to be members of the BOG. All Consumer Association representatives so invited shall be on the BOG until the immediate next election of members of the BOG at an annual general meeting but may be re-appointed if so decided by the BOG. A Consumer Association representative shall be an observer and does not have the right to vote at any general meeting of the Association or at any meeting of the BOG.
That the Constitution of the Association be amended by allowing the Board of Governors to invite members of the public to be members of the BOG as follows:
7. VOTING AND HOLDING OF OFFICE
7.4 Representatives of the public (who need not be Certified Members of the Association) may be invited by the BOG to be members of the BOG. All members of the public so invited shall be on the BOG until the immediate next election of members of the BOG at an annual general meeting but may be re-appointed if so decided by the BOG. A representative of the public shall be an observer and does not have the right to vote at any general meeting of the Association or at any meeting of the BOG.
Resolution 4.2
That the Constitution of the Association which states
15. FINANCIAL PROVISION
15.5 For expenditures that are not in the approved annual budget:
(i) No expenditure exceeding RM500,000.00 for any single purpose shall be incurred without the prior sanction of a general meeting.
That the General Meeting give mandate to the Board of Governors to purchase an office building for the Association in the event that the expenditure to be incurred exceeds the RM500,000.00 as stated in the Constitution but in any case it shall not exceed RM1,500,000.00.
5. Any other matters.

Only Certified Members of the Association who have fully paid all fees payable in respect of their membership before the date of the Annual General Meeting are entitled to attend and vote at the Annual General Meeting. No proxies are allowed.
